1. Acceptance and scope

This website is operated by EDGE Holding USA, LLC, a Delaware limited liability company, file number 10663271. By accessing or using the site you accept these terms. If you do not accept them, do not use the site. These terms govern your use of the website only. They do not govern any engagement, mandate, investment or other relationship with EDGE Holding, each of which is governed by its own written agreement.

2. No offer, no solicitation, no advice

Nothing on this website is an offer to sell or a solicitation of an offer to buy any security, interest or product, in any jurisdiction, to any person to whom such an offer or solicitation would be unlawful. Nothing on it constitutes investment, legal, tax, accounting or financial advice, or a recommendation that any transaction is suitable for you. The content is general information about our business. You should obtain your own professional advice before acting on anything you read here.

3. Information about AIGF 1

AIGF 1, the AI Infrastructure Growth Fund I, is a vehicle in formation. It is not registered, authorised or regulated in any jurisdiction, and no interests in it are being offered through this website. Any registration of interest creates no obligation on either side, is not a subscription, application or commitment, and does not entitle you to participate. If and when interests are offered, they will be offered only to eligible investors, in permitted jurisdictions, by means of definitive offering documents, and those documents will prevail over anything stated here.

4. Forward-looking statements

Statements on this site that are not historical fact are forward-looking. They rest on assumptions and are subject to risks and uncertainties, many outside our control. Actual results may differ materially. We undertake no obligation to update any forward-looking statement, and no such statement is a promise, projection or guarantee of any outcome.

Any multiple, ratio or track-record figure on this site relates to the entity, currency and basis stated with it. Figures derived from listed market values are unrealised and move with the market. The full basis of preparation, including the measurement period, is provided on request under a confidentiality agreement, and no figure on this site should be relied upon without it.

6. Personnel and staffing

Descriptions of seniority, experience and personnel are general, form no part of any engagement, are not warranties, and may not be relied upon. Nothing on this site is an undertaking that a particular individual will be assigned to, or will remain assigned to, any mandate.

7. Intellectual property

All content on this site, including text, design, layout, graphics, diagrams and code, is owned by or licensed to EDGE Holding and is protected by copyright and other intellectual property rights. The EDGE Framework, the D-EDGE Framework and the Value Case methodology are proprietary methodologies authored by Yousry Atlm and owned within the EDGE group. You may view the site and print or download extracts for your own internal reference. You may not otherwise reproduce, republish, distribute, adapt, or use any content commercially, or use it to train or fine-tune any machine-learning model, without our prior written consent.

8. Third-party marks and links

Third-party names and marks appearing on this site remain the property of their owners. Their appearance is factual and does not imply a current mandate, partnership, sponsorship or endorsement in either direction. Where we link to a third-party site we do not control it, do not endorse it, and accept no responsibility for its content or its handling of your data.

9. Acceptable use

You may not use this site unlawfully; attempt to gain unauthorised access to it or to any system connected to it; introduce malicious code; submit false information or another person’s details through a form; use the forms to send unsolicited commercial communications; or extract content by automated means, including scraping and bulk downloading, without our prior written consent.

To the fullest extent permitted by law, EDGE Holding, its members, officers, employees and agents are not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profit, revenue, business, goodwill, data or anticipated saving, arising out of or in connection with your use of this site or your reliance on its content, whether in contract, tort, statute or otherwise, and whether or not we were advised of the possibility of such loss. Our total aggregate liability arising out of or in connection with this site and these terms is limited to one hundred United States dollars (USD 100). Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud or fraudulent misrepresentation.

12. Indemnity

You agree to indemnify EDGE Holding against any claim, loss, liability or cost, including reasonable legal fees, arising from your breach of these terms or your misuse of this site.

13. Governing law and jurisdiction

These terms, and any dispute or claim arising out of or in connection with them or their subject matter, including any non-contractual dispute or claim, are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. The state and federal courts sitting in the State of Delaware have exclusive jurisdiction, and you submit to that jurisdiction and waive any objection to it on the grounds of venue or forum non conveniens.

14. General

We may change these terms at any time by updating this page; the effective date below marks the current version, and continued use of the site after a change constitutes acceptance of it. If any provision is held unenforceable, the remainder continues in full force. Our failure to enforce a provision is not a waiver of it. These terms, together with the Privacy Notice and the Regulatory Disclosures, are the entire agreement between you and us in respect of your use of this site.
