1. Nature of the business

EDGE Holding USA, LLC is a holding and investment platform. It engages in principal-led activity, strategic investment, active ownership of businesses it invests in, and executive advisory work, across selected sectors and geographies with a focus on Saudi Arabia, the United Arab Emirates and the wider GCC.

2. Regulatory status

EDGE Holding does not hold, and does not hold itself out as holding, any financial-services licence, authorisation or registration in Saudi Arabia, the United States, or any other jurisdiction. It is not a registered investment adviser, broker-dealer, fund manager or securities firm. Nothing published on this website is, or is intended to be, the carrying on of a regulated activity in any jurisdiction. Where a proposed activity would require authorisation, EDGE Holding will obtain it, or will conduct that activity only through an appropriately authorised person, before undertaking it. Any change to this position will be disclosed on this page.

3. No offer of securities

Nothing on this website constitutes a public offering of securities in any jurisdiction, nor an offer or solicitation in any jurisdiction in which such an offer or solicitation would be unlawful or in which the person making it is not qualified to do so. No securities regulator in any jurisdiction has reviewed, approved or passed upon the accuracy or adequacy of anything published here, and any representation to the contrary is unlawful.

4. Eligible investors only

Any offering of interests in any vehicle referred to on this website would be made only to investors who are eligible under the law of their own jurisdiction, in permitted jurisdictions, and only by means of definitive offering documents containing the terms, the risk factors and the basis of any figure presented. Registering interest through this website is not an application, a subscription or a commitment, and confers no right to participate.

The information on this website is not directed at, and is not for use by, any person in any jurisdiction where publication or availability of that information would be contrary to local law. Persons who access this site are responsible for observing the restrictions that apply to them. Access from a particular jurisdiction does not imply that anything published here may lawfully be relied upon in that jurisdiction.

6. Basis of published figures

Every performance figure published on this website states the entity it relates to, the currency in which it is measured, and the basis on which it was prepared. Figures derived from listed market values are unrealised and change with the market. Absolute monetary amounts are not published; multiples are. The full substantiation, including the measurement period and the basis of preparation, is provided on request under a confidentiality agreement.

7. Third-party information

Organisations named on this website are named as a matter of fact, in connection with work carried out across the operating and advisory careers of the EDGE leadership team. Naming an organisation does not imply a current mandate, a commercial relationship, sponsorship or endorsement, in either direction. No third-party logo or mark is reproduced on this site.

8. Sanctions, anti-bribery and financial crime

EDGE Holding does not engage with counterparties, or accept capital from sources, that are subject to applicable sanctions regimes, and applies know-your-customer and anti-money-laundering procedures proportionate to each engagement. It prohibits the offering or acceptance of bribes and improper payments in any form, including facilitation payments, and expects the same of its counterparties.

9. Conflicts of interest

EDGE Holding operates an investment arm and an advisory arm. Where a potential conflict arises between the interests of an advisory client, an investee business and EDGE Holding itself, it is identified and disclosed to the affected parties before the relevant work proceeds, and is managed by information barriers, by declining the mandate, or by another measure agreed with the parties.
